What is a special purpose acquisition vehicle (SPAC)?

I feel as tho a lot of the success and hype around SPACs lately is the little man fighting for a place at the adult's dinner table.

You say despite the hype, IPOs remain a safer bet for retail investors - which is true over the long-term. However, there remains a massive gated door at the IPO shrine that keeps the pesky retail investors out.

Example: As a retail investor myself wanting to get into the AirBnB IPO, I simply didn't have the capital reserves with a broker to meet any of their Pre-IPO requirements. The target price was $68 (the price at which institutional investors got in - sometimes less than that), by the time I could get my hands on it it was trading at $158! Quite the premium.

Please make a video on whether SPVs have any issues from legal point of view. I understand that it is legal and even using tax heavens jurisdictions such as Jersey and similar jurisdictions are presumed legal.

However, watching “60 minutes” TV show a couple of weeks ago “implied” that “generally” SPVs operations “tends” to be illegal and involves tax “evasion”!, something which seems to me as “tax management”. This was related to operations of certain bank (no need that I mention its name) but I am sure you know it.
